01 Introduction
This is a legal operating agreement (the "Agreement") between you ("you" or the "Publisher") and Profit Ninja (the "Network" or the "Administrator"). It contains important information about your rights and obligations.
By participating in the Network and promoting an advertiser's campaign (a "Campaign"), you accept the restrictions and promotional terms published at profit.ninja (the "Website").
The terms in this Agreement govern your participation in the Network. If you do not agree to them, do not take part in the Network. These Terms should be read together with our Privacy Policy and Cookie Policy, as well as any campaign-specific terms shown in the dashboard.
02 Definitions
| Publisher | An entity cooperating with the Network that provides its promotional facilities in order to work with an advertiser through the Network. |
| Advertiser | A third-party organisation that engages Profit Ninja to oversee a Campaign, on conditions set out in a separate agreement between the Advertiser and Profit Ninja. |
| Traffic source | The facilities used by the Publisher to promote Campaigns — for example social media or paid traffic. |
| Campaign | A tracking link to the Advertiser's website, used for promotion. |
| Campaign model | The method of settling a Campaign — how commission is earned, for example after a purchase, an install or a completed form. |
| Validation | The process of verifying conversions earned by the Publisher, during which they are approved or rejected. |
| Fraud | Any action inconsistent with the Campaign rules, taken to the detriment of the Network or the Advertiser. |
03 Registration and account
- Registration on the Website is free of charge.
- To register, use the Website and take part in Campaigns, you need a valid email address and a device with internet access running an up-to-date browser.
- Registration is completed through the online form at app.profit.ninja/signup/affiliate. The Administrator activates the account after reviewing the information you provide.
- Once your account is approved, you may take part in Campaigns. You are paid according to the model selected by the Advertiser, and payment is issued after approval by the Advertiser or the Network.
- By registering, you consent to these Terms. Specific terms for each Campaign are established when you join that Campaign.
- You may close your account and leave Campaigns at any time. To do so, contact the Administrator, who will delete the account and clear the associated data.
04 Participating in campaigns
To gain access to a Campaign you must submit an application describing your promotion method, the websites you will promote on, or your company's activity.
By joining a Campaign you accept both the service rules and the Campaign terms. Campaigns run on different models:

| CPS | Cost per sale — commission for a purchase, calculated as a percentage of the product or service value. |
| CPL | Cost per lead — commission for a lead defined in the Campaign, such as a newsletter sign-up, a completed form or a registration. |
| CPL — SOI | Single opt-in. The conversion occurs when the end user registers with their email address, with no confirmation required. |
| CPL — DOI | Double opt-in. The conversion occurs when the end user registers and then verifies the registration through a confirmation email. |
| RevShare | Revenue share — the Advertiser pays a percentage of revenue, based not only on the first sale but also on the customer's later purchases. |
Every Campaign lists the permitted promotion methods in the "Traffic" tab of the Campaign view. You must stay within those methods. Using a prohibited traffic source may result in your account being suspended.
The Network may analyse the traffic you send. On request from the Administrator you must provide information about your promotional activity, including evidence such as screenshots. If you do not, your access to the relevant Campaigns may be restricted and appropriate penalties may be applied.
The Administrator is not responsible for Campaign mismanagement in areas for which the Advertiser is liable.
05 Prohibited conduct
Breaching a Campaign's terms may result in removal from the Campaign and in a requirement to take down all materials supplied by Profit Ninja or the Advertiser from your traffic source. In addition, you must not:
- Publish unlawful content, including content that infringes third-party rights.
- Promote hate speech, including on the basis of race, ethnicity or religion, or otherwise violate generally accepted social standards.
- Disrupt or overload the IT systems of Profit Ninja or any other entity, bypass security measures, install harmful software, or post content in unauthorised areas.
- Engage in brand bidding — using keywords containing legally protected terms, in particular the trademarks of an Advertiser or its competitors — without explicit permission.
- Redirect traffic from deceptive domains, unless expressly authorised by the Advertiser.
06 Commission and payment
Your earnings are shown in the "Billings" tab. Conversions carry one of three statuses:

| Accepted | Validated and approved. Ready for payment. |
| Rejected | Failed validation. No commission is due. |
Validation time varies by Campaign. Conversions are validated only after they have been accepted and paid for by the Advertiser.
- To request a withdrawal, contact an Administrator. Payout is made within 3 business days of the request.
- Payments are made on the basis of bills, invoices or other documents you provide. If you do not provide one, the Administrator will generate it.
- Available payout methods: USDT, Bitcoin and wire transfer.
- The minimum payout threshold for all methods is $50.00.
07 Fraud policy
If Profit Ninja determines, at its sole discretion and after an investigation, that you have engaged in activity that is fraudulent or damaging to the company's reputation, it may suspend or terminate your membership without notice.
For the purposes of this Agreement, fraudulent activity includes, but is not limited to:
- Any action by you, or by any person for whom you are legally responsible, that directly or indirectly aims to falsify commission payouts.
- Generating leads in a manner not approved by Profit Ninja and contrary to the promotion rules.
- Any action considered fraudulent by our partners.
Profit Ninja may remove actions submitted through your links, withhold or freeze unpaid commissions, and reclaim commissions already paid, where it determines that you have breached this Agreement. The same applies where Profit Ninja or an Advertiser receives complaints about your participation that Profit Ninja reasonably believes to be in breach of this Agreement, or where a commission is later found not to meet the conditions set out here.
08 Intellectual property
All content on the Website — including trademarks, copyrighted works, expert knowledge, know-how and the software used to manage advertising campaigns — is the property of Profit Ninja and may not be used without explicit consent from Profit Ninja, the Advertiser or an authorised representative.
You may use links to Advertisers' landing pages, sales pages and promotional materials, but only with prior approval and strictly within the limits necessary to take part in the Campaign.
By taking part in a Campaign you agree to comply with all Campaign rules, in particular those concerning the content of your traffic source, and with the intellectual property rights and trademark protections held by third parties.
09 Personal data
- The legal basis for processing your personal data is established when you accept these Terms and register an account on the Website.
- Providing personal data is voluntary, but without it the Agreement cannot be concluded or performed.
- Data is processed solely for purposes connected with performing the Agreement and with the steps necessary before it is concluded.
- Data is stored no longer than needed for those purposes. This covers the duration of the Agreement, the limitation period for potential claims, any ongoing proceedings, and the archiving period required by tax law.

10 Liability
The Network provides the Website and the Services on an "as is" basis. The Administrator is not liable for Campaign mismanagement in areas for which the Advertiser is responsible, nor for losses arising from your use of a traffic source in breach of the Campaign rules.
Nothing in this Agreement excludes or limits liability where such exclusion or limitation is not permitted by the applicable law.
11 Duration and termination
The Agreement between Profit Ninja and you takes effect when you accept these Terms and the Administrator successfully verifies your account.
- You may end the Agreement at any time, with immediate effect.
- Profit Ninja may terminate the Agreement at its discretion with 14 days' notice and without giving a reason. The Administrator will inform you by email or through the Website.
- Profit Ninja may terminate the Agreement without notice if you breach these Terms — including where you use illegal software to create artificial traffic during a Campaign, attempt to create or actually create artificial traffic, or generate no traffic from your traffic source for more than one year.
12 Complaints
Any issue affecting the functioning of the Website, the rules for operating your account, or the handling of personal data may be the subject of a complaint. Send complaints to [email protected].
13 Final provisions
If any part of these Terms is found to be invalid, the remainder stays fully in force, and the invalid provision is replaced by the relevant statutory provision.
These Terms came into effect on 1 October 2024. We may update them; the current version is always the one published on this page, and the "last updated" date at the top reflects the most recent change.
